1. Introduction

These Terms and Conditions (the "Agreement") govern the recruitment services provided by Pelago Recruitment Agency (hereinafter referred to as "Pelago," "we," "our," or "us") to the company engaging our services (hereinafter referred to as the "Client," "you," or "your"). By engaging Pelago to assist in the recruitment of candidates for your open positions, you agree to be bound by these terms.

2. Our Services

Pelago specialises in sourcing, screening, and presenting candidates for positions within technical and professional fields, including but not limited to:

  • Technical Roles: IT, Software Development, Mechanical, Electrical, and Engineering.
  • Professional Roles: Business Management, Accounting, Finance, and similar sectors.

We will work closely with you to understand your recruitment needs, job specifications, and company culture, ensuring a tailored approach to sourcing candidates. We identify and present suitable candidates for your consideration.

3. Recruitment Process

  • Initial Consultation: Upon signing these terms and conditions for our services, we will conduct an initial consultation with the Client to discuss hiring needs, the role requirements, and any specific preferences required for candidates.
  • Candidate Sourcing: Pelago will identify and approach suitable candidates through our network, advertising, and direct outreach. We may utilise a combination of our internal database, online platforms, and headhunting techniques to find the best-fit candidates.
  • Shortlisting & Interviews: Pelago will provide a shortlist of qualified candidates for review. You may interview the candidates, in person or virtually, to assess their suitability for the role.
  • Placement & Offer: If a candidate is selected, Pelago will assist with facilitating the offer process, ensuring a smooth transition to employment.

4. Fees & Payment Terms

  • No Placement, No Fee: Pelago operates on a "No Placement, No Fee" basis. The Client is only obligated to pay Pelago a fee if a candidate we introduce is successfully hired for 5 weeks or more. If no hire is made, no fees will be charged.
  • Placement Fee: Our standard fee is 8% calculated as a percentage of the candidate’s gross annual salary, as agreed upon before the commencement of the recruitment process. The placement fee is invoiced upon the candidate’s successful job placement and after the completion of five weeks in the agreed job role.
  • Payment Terms: Payment for services is due 10 days from the invoice date. Any late payments will incur interest at a rate of 2% per month, compounded monthly until paid in full.
  • Refund Policy: If the candidate resigns or is terminated within 5 weeks of placement, Pelago endeavours to provide a suitable replacement, subject to the following conditions:
  • The Client must notify Pelago in writing within 5 working days of the candidate’s resignation or termination.

5. Candidate Ownership

  • Exclusivity: The candidates introduced by Pelago are considered the exclusive property of Pelago for this Agreement. If you hire a candidate introduced by Pelago, whether directly or indirectly, during the recruitment process or within a specified period (typically 12 months from the introduction date), the company, or organisation will be required to pay the full agreed-upon hiring fee.
  • Non-Solicitation: The Client agrees not to directly approach or solicit any candidate introduced by Pelago within 12 months following the introduction, unless via formal recruitment channels and the payment of applicable fees.

6. Confidentiality

Both parties agree to treat all candidate information, client company data, and any other proprietary or confidential information shared during the recruitment process as confidential. This includes maintaining strict confidentiality regarding the candidate’s application, interview process, personal details, and terms of employment.

7. Liability

Pelago makes every effort to ensure the candidates we present meet the requirements agreed upon. However, we do not guarantee the performance of any candidate hired, we accept no liability for any loss, damage, or expense arising from the recruitment process, including but not limited to a candidate’s failure to perform their duties.

8. Termination of Agreement

This Agreement may be terminated by either party, upon written notice. In the case of termination by the Client (Company, Organisation), any recruitment efforts and candidate introductions made up until the termination date will still be subject to the applicable fees and payment terms.

9. Governing Law
This Agreement will be governed by and construed by the laws of the United Kingdom, and both parties agree to submit to the jurisdiction of the courts in the UK for any disputes arising under this Agreement.

10. Acceptance of Terms

By engaging and signing the Pelago Recruitment Agency to assist in your recruitment needs, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
